Mag+ Customer shall, itself, be fully responsible for final testing of any such Apps and clearing the same for commercial release in connection with the respective Marketplace and Target Device(s). Mag+ shall bear no liability of any kind in connection with any decisions made by any third party (e.g., Marketplace(s)) or for any changes made by any such third party in connection with a Target Device or the technical specifications thereof. ANY PAYMENTS DUE AND OWING BY MAG+ CUSTOMER TO MAG+ (INCLUDING ANY ATTORNEYS’ FEES AND/OR COLLECTION COSTS RELATED THERETO) SHALL NOT BE DEEMED “DAMAGES” UNDER THIS SECTION.

8.5       UNLESS STATED EXPRESSLY OTHERWISE IN THIS SECTION 8, THE SOFTWARE, SDK, TRIAL SDK, DOCUMENTATION, SUPPORT, PRIORITY SUPPORT, UPTIME, SUBSCRIPTIONS, UPDATES AND UPGRADES OF ANY KIND, PROFESSIONAL SERVICES, AND DELIVERABLES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MAG+ AND ITS SUPPLIERS SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

8.6       THE LIMITATIONS OF LIABILITY AND WARRANTY DISCLAIMERS IN THIS SECTION 8 ARE MATERIAL, BARGAINED FOR BASES OF THE AGREEMENT, AND HAVE BEEN RELIED UPON IN DETERMINING THE CONSIDERATION TO BE PAID UNDER THIS AGREEMENT AND IN THE DECISION BY EACH PARTY TO ENTER INTO THIS AGREEMENT.

8.7       Should Mag+ Customer desire to obtain a higher level of liability coverage, license usage, extended warranty, support, and/or service level, Mag+ Customer shall contact Mag+ with a specific request in writing, and Mag+ shall reply with a quote for such additional Mag+ undertakings.

8.8        Mag+ Customer understands and agrees Mag+ has no responsibility or liability for the deletion or failure to store any content and/or for other communications maintained or transmitted through the Software or any services related thereto. Mag+ Customer further acknowledges Mag+ Customer is solely responsible for properly configuring all services contemplated herein, for taking steps to maintain appropriate security, and for backing up content, MIBs, and Apps.

9.          CONFIDENTIALITY

9.1       The parties shall maintain confidentiality and may not, without the other party’s prior, written consent, unless expressly stated otherwise in this Agreement, disclose to any third party any documentation and any information designated by the furnishing party as confidential (which, to clarify, includes, Software, SDK, Trial SDK, Updates, Upgrades, Feedback, Deliverables, and Documentation), whether of a commercial or a technical nature, i.e. the receiving party shall use the information only for the purpose of this Agreement. For the purposes of this clause, “Confidential Information” means non-public information disclosed by a party (“Disclosing Party”) to the other (“Receiving Party”) relating to the Disclosing Party’s business, products; affairs; finances; clients; customers; trade secrets; customer lists; billing practices; contractual arrangements; technical data and know-how. Except in the proper performance of its obligations under this Agreement, the Receiving Party shall not itself (or allow others to) use or disclose Confidential Information to any person.

9.2       Neither party shall be liable for disclosing any such information if it was, in all material respects: (a) public knowledge at the time of disclosure or thereafter becomes public knowledge other than through an act or omission of the receiving party; (b) already lawfully known to the other party prior to its receipt from the disclosing party; (c) demonstrably developed at any time by the receiving party without any access to the information received hereunder; (d) lawfully obtained by a third party, free of any confidentiality obligations, from other unrestricted sources; or (e) disclosed with the prior written permission of the disclosing party.

9.3       Mag+ shall, immediately after the Effective Date, have the right to release a public statement disclosing the existence of this Agreement, and to use any and all Mag+ Customer trademarks and logos in connection therewith. Further, Mag+ shall be permitted to display the covers of Mag+ Customer’s Apps on any of Mag+’s websites as well as in any and all other media in connection with the promotion of the Software. Mag+ Customer hereby grants Mag+ all necessary IPR rights necessary to give full effect to this Section 9.3.

9.4       The parties agree any breach of the confidentiality obligations of this Section 9 or use of the Software, SDK, Trial SDK, Documentation and/or Deliverables beyond the express scope of the license grant set forth in Section 3 hereof, may result in irreparable harm to Mag+ for which damages would be an inadequate remedy and, therefore, in addition to its rights and remedies otherwise available, the Mag+ shall be entitled to seek injunctive relief, whether interim or final, anywhere in the world as reasonably necessary to safeguard Mag+’s interests.

9.5       The obligations set forth in this Section 9 shall survive any expiration or termination of this Agreement for a period of five (5) years. Notwithstanding the foregoing, the confidentiality obligations concerning the Software, Trial SDK, SDK, Documentation, Deliverables, and Feedback shall survive any expiration or termination of this Agreement until such time as one of the exclusions set forth in Section 9.2 applies thereto in all material respects.

9.6       Mag+ Customer has no obligation to give Mag+ any Feedback. Mag+ may use and include any Feedback to improve the Software, SDK, Trial SDK, and/or other Mag+ technologies. Accordingly, if Mag+ Customer provides Feedback, Mag+ Customer agrees Mag+ and its Mag+ Customers may freely use, reproduce, license, distribute, and otherwise commercialize the Feedback in the Software, SDK, Trial SDK or other technologies without having to obtain any approval from and without having to make any accounting or payment to Mag+ Customer.

10.          INFRINGEMENTS

10.1       Mag+ shall defend, indemnify, and hold harmless Mag+ Customer from and against any and all damages, costs and expenses incurred as a result of Mag+’s breach of its warranty under Section 8.1 hereof; provided Mag+ has been notified without undue delay (not to exceed ten (10) Business Days) in writing of such claim (to the extent Mag+ Customer knows of such claim or should reasonably have been aware of such claim) and given authority, information, and assistance to settle the claim or control the defense of any suit or proceeding. This indemnification obligation expressly excludes any claims arising from Mag+ Customer’s improper use of the, as applicable, Software, SDK, and/or Trial SDK; external factors; Mag+ Customer’s failure to install prior Updates; in the event the Software, SDK, and/or Trial SDK has/have been modified or altered in any manner; or if the claim results from the combination of the Software, SDK and/or Trial SDK with any other software or hardware. Further, Mag+ shall have no obligation to indemnify Mag+ Customer if Mag+ Customer had not, at the time the claim against Mag+ Customer arose, been current in paying any and all fees, to Mag+, under this Agreement.

10.2       Mag+ Customer shall defend, indemnify, and hold harmless Mag+ from and against any and all damages, costs, and expenses incurred as a result of Mag+ Customer’s breach of its warranty under Section 3.6 and/or in connection with any attorneys´ fees and/or collection costs incurred by Mag+ in connection with recovering payments from Mag+ Customer.

11.          TERM AND TERMINATION

11.1       This Agreement shall commence on the Effective Date and run for one (1) year from the date thereof. The Agreement shall automatically renew for periods of one (1) year at a time unless either party submits termination notice to the other, in writing, within thirty (30) calendar days prior to the conclusion of the initial term or any annual extension thereafter—subject to any lengthier termination requirements of any existing Subscriptions or ongoing services or support (as additional Subscriptions, ongoing services or support, may be purchased after the Effective Date of the Agreement). To clarify, Subscriptions and any add-on services or support (unless clearly identified, in writing, as having only one-time fees) run for an initial period of one (1) year and automatically renew for periods of one (1) year at a time unless either party submits termination notice to the other, in writing, within thirty (30) calendar days prior to the conclusion of the initial term of the Subscription (or ongoing service or support) or any annual extension thereafter. If any existing terms for Subscription, add-on support or add-on services exceed the Agreement term, the Agreement shall be extended until the conclusion of the Subscription, add-on service, and add-on support terms (as applicable). In the event of a material breach of this Agreement by either party (including, without limitation, delinquency in payment) not remedied within thirty (30) calendar days from the other party’s written notice thereof or in case either party should become bankrupt or insolvent, the other party shall have the right to terminate this Agreement with immediate effect. For any Subscriptions having no minimum binding period, the Subscription shall terminate upon the conclusion of the next following calendar month after written notice of termination has been received. To clarify, if notice if termination is received on August 15th, the Subscription shall terminate at the conclusion of September.

11.2       After termination of the Agreement by either party pursuant to Section 11.1 above, all Mag+ Customer’s rights in respect of Software, SDK, Trial SDK, Deliverables, Feedback, and Documentation shall cease and Mag+ Customer shall promptly, completely, and irrevocably purge and otherwise destroy any and all copies of the same. All Apps released via Marketplace(s) shall remain in full force and effect and continue to be available to Mag+ Customer’s customers for purchase during the termination notice period. Upon termination, Apps shall be deleted from Mag+. To clarify, however, should Mag+ Customer have licensed the Trial SDK but opt not to license the SDK during or before the termination of the Trial SDK term, all Mag+ Customer’s rights in respect of the Trial SDK shall immediately cease and any and all results of the use of the Trial SDK as well as the Trial SDK itself shall be purged and/or otherwise destroyed. To further clarify, should Mag+ Customer desire to cancel the SDK license but nevertheless retain its license to one or more Software Subscriptions set forth in the Order, Mag+ Customer shall maintain a license to the SDK version existing at the time of such SDK cancellation free-of-charge; provided such SDK use shall be strictly limited to the terms of this Agreement, shall exclude any and all rights to Updates and/or Upgrades of any kind to the SDK, and shall automatically terminate when Mag+ Customer ceases from having a current paid for Software Subscription.

11.3       The foregoing rights of termination are in addition to all other rights and remedies provided in this Agreement or at law, subject to the express limitations set forth in Section 8 (Limitation of Liability; Warranty Disclaimer).

11.4       Provisions contained in this Agreement that are clearly expressed or by their sense and context are intended to survive the expiration or termination of this Agreement, shall so survive the expiration or termination hereof.

This Agreement contains the entire agreement between the parties on the subject matter of this Agreement, and supersedes all memoranda, representations, undertakings, and agreements, whether oral or written, previously made between the parties with respect to the subject matter of this Agreement. In the event any provision of this Agreement is deemed by a court or tribunal of competent jurisdiction to be unenforceable, such provision(s) shall be limited or eliminated to the extent necessary so this Agreement shall otherwise stay in full force and effect.

  1. TERM AND TERMINATION; SUSPENSION

The Term of this Agreement begins on the Effective Date of the Order (or upon the date of any order placed subsequent to the Order) and shall run for an initial period of one (1) year thereafter. The term shall automatically renew for periods of one (1) year at a time unless terminated by Mag+ Customer or AML (whether directly or via Mag+) by giving at least thirty (30) calendar days’ termination notice prior to the conclusion of the initial term or any annual extension thereafter.

Alternatively, without terminating the Agreement, AML may suspend the Subs-Plus Service until payment in full. If AML initiates termination of this Subs-Plus Service due to Mag+ Customer breach, Mag+ Customer remains obligated to pay the balance due on Mag+ Customer’s account for the remainder of the Subs-Plus Service term then in effect, computed in accordance with Mag+ Customer’s monthly usage-based service fees, as applicable, and will be billed for such unpaid fees. AML reserves the right to impose a reconnection fee in the event Mag+ Customer Subs-Plus Service is suspended. If Mag+ Customer terminates the Subs-Plus Service for uncured material breach by AML,

Mag+ Customer shall be entitled to reimbursement on a pro-rated basis of that portion of Mag+ Customer’s prepayment for the Subs-Plus Service which covers any time period beyond the termination date.
Any unauthorized use of the Subs-Plus Service, or any component thereof will be deemed a material breach of this Agreement. In addition, without terminating the agreement between AML and Mag+ Customer, AML, in its sole discretion, may terminate Mag+ Customer’s use of the Subs-Plus Service if Mag+ Customer breaches these Subs-Plus Terms.
Upon termination or expiration of the agreement between AML and Mag+ Customer, in the event that AML has any Customer Data, Mag+ Customer agrees AML has no obligation to retain the Customer Data, and may delete such Customer Data.

In the event of any expiration or termination of this agreement between AML and Mag+ Customer, the restrictions set forth in these Subs-Plus Terms- Section 2, Section 4, any amounts unpaid under Section 6, Section 7, Sections 9-13, 16 and 18 shall

survive termination.

  1. REPRESENTATIONS & WARRANTIES

Each party represents and warrants it has the legal power and authority to enter into this Agreement.
AML represents and warrants that it will provide the Subs-Plus Service in a manner consistent with general industry standards. Mag+ Customer represents and warrants Mag+ Customer has neither falsely identified itself, nor provided any false information to gain access to the Subs-Plus Service, nor does any Customer Data for which Mag+ Customer is responsible violate the privacy rights of, or defame, any data subject or third party, and that any billing information Mag+ Customer has provided is correct.

  1. DISCLAIMER OF WARRANTIES

EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN SECTION 8 OF THESE SUBS-PLUS SERVICE TERMS, THE SERVICE, INCLUDING WITHOUT LIMITATION ALL AML CONTENT, IS PROVIDED TO MAG+ CUSTOMER STRICTLY ON AN “AS IS” BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY AML AND ITS LICENSORS. AML AND ITS LICENSORS MAKE NO REPRESENTATION, WARRANTY OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SUBS-PLUS SERVICE OR ANY CONTENT. AML AND ITS LICENSORS DO NOT REPRESENT OR WARRANT THAT (i) THE USE OF THE SUBS-PLUS SERVICE WILL BE ENTIRELY SECURE, UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY HARDWARE, SOFTWARE OR SYSTEM NOT PRESCRIBED BY AML, (ii) ALL ERRORS OR DEFECTS WILL BE CORRECTED, OR (iii) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL

COMPONENTS.

  1. LIMITATION OF LIABILITY

IN NO EVENT SHALL AML’S AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY

AND/OR DUE FROM MAG+ CUSTOMER, FOR THE SUBS-PLUS SERVICE, IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. IN NO EVENT SHALL AML AND/OR ITS LICENSORS BE LIABLE TO MAG+ CUSTOMER FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THIS SUBS-PLUS SERVICE, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE THE SUBS-PLUS SERVICE, OR FOR ANY CONTENT OBTAINED FROM OR THROUGH THE SUBS-PLUS SERVICE, OR ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, EVEN IF AML HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Subs-Plus Service may be subject to limitations, delays, inaccessibility and other problems that are inherent in the use of the Internet. AML is not responsible and disclaims all liability for any delays, failures or damage resulting from such problems. Mag+ Customer is fully responsible for Internet access and connectivity issues.

  1. MUTUAL INDEMNIFICATION

AML shall indemnify and hold Mag+ Customer harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with a third-party claim (“Claim”) alleging that the Subs-Plus Service directly infringes a third parties intellectual property rights; provided that Mag+ Customer: (a) promptly gives written notice of the Claim to AML; (b) gives AML sole control of the defense and settlement of the Claim (provided that AML may not settle any Claim unless such settlement releases Mag+ Customer of all liability); (c) provide to AML all available information and assistance; and (d) have not compromised or settled such Claim. AML shall have no indemnification obligation for any Claim arising from the combination of the Subs-Plus Service with any of Mag+ Customer’s products, services, hardware or system, if such

Claim would not have arisen but for such combination, or from any misuse or unauthorized use of the Subs-Plus Service.
Mag+ Customer shall indemnify and hold AML harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with the Claim of a third party or data subject alleging that the Customer Data or its use has infringed the rights of, defamed or otherwise caused harm to, a data subject or third

party, or violated applicable law; provided in any such case that AML (a) gives written notice of the Claim promptly to Mag+ Customer or the appropriate Mag+ Customer representative; (b) gives Mag+ Customer sole control of the defense and settlement of the Claim (provided that Mag+ Customer may not settle any Claim unless such settlement releases AML of all liability and such settlement does not affect AML’s business or Subs-Plus Service); (c) provides to Mag+ Customer all available information and assistance; and (d) has not compromised or settled such Claim.
Notwithstanding the foregoing, in the event the Subs-Plus Service, in AML’s opinion, is likely to or does become the subject of a claim of infringement, AML shall have the right at its sole option and expense to: (a) modify the Service to be non-infringing while preserving substantially equivalent functionality; (b) obtain for Mag+ Customer a license to continue using the Subs-Plus Service; or (c) terminate this agreement between AML and Mag+ Customer, and refund to Mag+ Customer a pro rata portion of the prepaid fees paid to AML hereunder for that portion of the term which is beyond the termination date. This Section 11 states AML’s sole obligation and Mag+ Customer’s exclusive remedy with respect to an infringement claim.

  1. CONFIDENTIALITY

This section applies to all Confidential Information disclosed during the term. “Confidential Information” consists of this agreement between AML and Mag+ Customer (including without limitation all price information), all nonpublic information relating to the Subs-Plus Service, the AML content, information relating either party’s business, finances, or customers. Except for the Subs-Plus Service and any related software, Confidential Information must be marked as “Confidential” or “Proprietary.”
The party receiving Confidential Information from the other party (“Receiving Party”) agrees: (i) not to disclose, make public or authorize any disclosure or publication of Confidential Information during the Term and for five (5) years thereafter, except as expressly agreed to in writing by the disclosing party; (ii) to take all reasonable and necessary steps to enforce this agreement and to assure that all principals, officers, agents, employees, representatives, consultants or any other

persons affiliated in any manner with the Receiving Party do not disclose, or make public, or authorize any disclosure or publication of any Confidential Information; and (iii) not to use

Confidential Information for any purpose other than the purposes related to this Agreement.
The Receiving Party may disclose the Confidential Information to its respective officers, principals and employees, attorneys and accountants only to the limited extent necessary to carry out the

purpose of this Agreement. To the extent that the Receiving Party desires to make disclosure to any persons other than its officers, principals, or employees, attorneys or accountants, as a

condition precedent to disclosure, such recipient must execute a confidentiality/non-use agreement in a form substantially similar to this Section before disclosure is made.
Notwithstanding the above, the Receiving Party will have no liability to the disclosing party with regard to Confidential Information which: (i) was known to the Receiving Party at the time it was disclosed as can be demonstrated by documentary evidence; (ii) is in or enters the public domain through no fault of the Receiving Party; (iii) is disclosed with the prior written approval of the disclosing party; (iv) becomes known to the Receiving Party from a source other than the disclosing party without violation of the disclosing party’s rights; or (v) is disclosed pursuant to the order or requirement of a court, administrative agency, or other governmental body; provided,

that the Receiving Party will provide prompt notice thereof to enable the disclosing party to seek a protective order or otherwise prevent or narrow such disclosure.

  1. NOTICE

Except as otherwise expressly provided in this agreement between AML and Mag+ Customer, no communication from one party to the other shall have any validity under this Agreement unless made in writing by or on behalf of an authorized officer of Mag+ Customer or as the case may be by or on behalf of AML.
Any notice or other communication which either party hereto is required or authorized by this agreement to give to make to the other shall be given or made  either by post in a prepaid letter or by facsimile transmission confirmed by post in a prepaid letter addressed to the other party at the address given, with regard to Mag+ Partner (in the Order), and with regard to AML in this Appendix C and if that letter is not returned as being undelivered within seven (7) days of dispatch of that letter that notice or communication shall be deemed for the purposes of this Agreement to have been given or made after two days for a letter or four hours for a facsimile transmission.
Either party may change its address for service by notice as provided in this Section 13.

  1. MODIFICATION TO TERMS

This agreement may not be amended except by a writing signed by an authorized representative of AML and Mag+ Customer.

  1. ASSIGNMENT; CHANGE IN CONTROL

This agreement may only be assigned by either party with the prior written consent of the other party.

  1. THIRD PARTY RIGHTS

Unless expressly provided in this Agreement, no term of this Agreement is enforceable by any third party. To clarify, Mag+ Customer shall indemnify and hold Mag+ (as AML’s representative) harmless from any and all attorneys’ fees and/or collection costs incurred in connection with recovering fees due from Mag+ Customer for the Subs-Plus Service.

  1. FORCE MAJEURE

Neither party shall be deemed to be in breach of this agreement, or otherwise be liable to the other, by reason of any delay in performance or non-performance of any of its obligations under this agreement to the extent that such delay or non-performance is due to any cause beyond its reasonable control including but not limited to the acts, defaults or omissions of suppliers or

sub-contractors or strike, lockout or other form of industrial action (an “Event of Force Majeure”).
The party affected by the Event of Force Majeure shall immediately give the other party written notification of the nature and extent of the event of force majeure and the parties shall enter into bona fide discussions with a view to alleviating its effects or to agreeing upon such alternative arrangements as may be fair and reasonable.
If either party is affected by the Event of Force Majeure and the written notice in relation to the event of force majeure has not been withdrawn within 120 days, the other party shall be at liberty to terminate this agreement with immediate effect by serving a written notice on Mag+ Customer. The service of such notice shall be without prejudice to any rights or obligations which have accrued prior to termination.

  1. GENERAL

This agreement between AML and Mag+ Customer shall be governed by the substantive laws of England and Wales, giving no effect to any conflict of laws provisions. The parties agree that the English courts are to have exclusive jurisdiction to settle any claim arising out of or in connection with this agreement between AML and Mag+ Customer and each party submits to the exclusive jurisdiction of English courts.
If any provision of this agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the invalid or unenforceable provision(s), with all other provisions remaining in full force and effect. No joint venture, partnership, employment, or agency relationship exists between Mag+ Customer and AML as a result of this agreement or use of the Subs-Plus Service. The failure of a party to enforce any right or provision in this agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by such party in writing. This agreement, together with any exhibits comprises the entire agreement between Mag+ Customer and AML and supersedes all prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between the parties regarding the subject matter contained herein.

APPENDIX D – SLA; SERVICE LEVEL AGREEMENT FOR PRIORITY SUPPORT AND UPTIME

This SLA includes specific enhanced Mag+ undertakings regarding, as applicable, Priority Support and Uptime. Mag+ Customer earns Credits, to the extent applicable, for Mag+’s failure to comply with Priority Support and/or Uptime as specified below.

Mag+ Customer understands and agrees Priority Support and Uptime are each sold separately and will, therefore, apply only to the extent Mag+ Customer has selected and is current with its payment for each.

Mag+ shall, therefore, if applicable, provide the service levels and credits set forth in this Appendix D with respect to Priority Support and/or Uptime. To clarify, the SLA expressly excludes any Help Desk services and any Hosting (as Hosting is carried out by third party hosting companies for which Mag+ makes no warranties and/or representations and, further, assumes no liability).

I.   PRIORITY SUPPORT (if applicable)

This SLA, to the extent Priority Support applies, provides a premium level of Support as relates to Appendix A (“Support”) under this Agreement. To the extent not stated otherwise, the terms of Support set forth in Appendix A shall apply.

  1. Priority Support. Mag+ provides Priority Support for the Software, in accordance with this Appendix D, for the fees set forth in the Order. Priority Support shall apply to all Apps under license by Mag+ Customer.
  2. Support Response Time. Mag+ shall initially respond to Trouble Reports (“TR”) on a same Business-Day basis, to a maximum of three (3) designated email addresses, set forth in the Order or as otherwise required by Mag+ provided a TR is submitted (according to the terms of Appendix A) on or before 2PM EST during a Business Day. If received after 2PM EST during a Business Day (or if otherwise received during a non-Business Day), the TR will be initially responded to on a next Business-Day basis.

CREDITS REGARDING PRIORITY SUPPORT

For adversely affected App(s), Credits for failure to meet the Priority Support requirement shall be as follows :

$99 credit (Maximum of one credit per Mag+ Customer per month).

Should Mag+ Customer have selected Priority Support (and be current with all applicable payments), Mag+ shall furnish Mag+ Customer with Priority Support Credits (to be applied against future payments due and owing to Mag+ for Priority Support).

II. UPTIME OF 99.9% (if applicable)

The Software is intended to be available with a Monthly Uptime Percentage (subject to Downtime Exclusions—defined below) of at least 99.9%, twenty-four hours a day, seven days per week.

Should Mag+ Customer have selected Uptime (and be current with all applicable payments), Mag+ shall furnish Mag+ Customer with Uptime Credits (to be applied against future payments due and owing to Mag+) in connection with each affected App for which Uptime has been purchased.

CREDITS REGARDING UPTIME

Credits for failure to meet the monthly Uptime percentage shall be as follows and are expressed as a percentage of the monthly license subscription fee for designated App(s) for which Mag+ Customer has purchased (and is current on its payments for) Uptime coverage:

Monthly Uptime % Credit of monthly fee
99.6% – 99.9% 5%
99.2% – 99.5% 15 %
99.0% – 99.1% 30 %
Below 98.9% 35 %

“Monthly Uptime Percentage” is calculated by subtracting from 100% the percentage of minutes during the month in which the Software is Not Available (as defined below).

“Not Available” periods occur when the following two (2) criteria are met: Critical Error and Not a Downtime Exclusion:

(i) Critical Error

A catastrophic event or problem, with no reasonable workaround, causing Mag+ Publish to be down, unavailable or non-functional, thereby preventing App content from being accessible in Apps and/or from being distributed to Apps.
(ii) Not a Downtime Exclusion:

The Service Level Agreement does not apply to factors:

  • outside of Mag+’s reasonable control, including, without limitation, any force majeure event or Internet access, telecommunications problems or related problems beyond the demarcation point of Mag+;
  • resulting from any voluntary actions or inactions of Mag+ Customer (or any third party on its behalf) (e.g. rebooting a database instance, scaling compute capacity, not scaling storage when the storage is full, misconfiguring security groups, VPC configurations or credential settings, etc.);
  • resulting from Mag+ Customer not following the basic operational guidelines for the Software;
  • resulting from underlying database engine software leading to repeated database crashes or an inoperable database instance;
  • resulting in a long recovery time due to insufficient IO capacity for Mag+ Customer’s workload;
  • resulting from equipment, software, hardware or other third party equipment, software, technology or services;
  • resulting from Mag+ Customer’s failure to have dedicated resources available during such time to work on the issue (to the extent the resolution reasonably depends upon Mag+ Customer’s information and/or involvement);
  • resulting from any modifications, deletions or changes to the Software resulting from any requests by Mag+ Customer; or
  • resulting from Maintenance Windows (as defined below), Hosting, any event within the exclusions set forth in Support (Appendix B), and/or in any manner related to Deliverables (as Deliverables are not included in Support or SLA).

To further clarify, Mag+ Customer understands and agrees Mag+’s sole liability for failing to meet any monthly Uptime percentages or Priority Support shall be the credits set forth in this Appendix D.

CUSTOMER ACCESS TO MONTHLY UPTIME REPORTS

Upon Mag+ Customer’s request, Mag+ will, at Mag+’s sole and absolute discretion, make available Monthly Uptime reports online at a designated URL address.

III. AUTOMATIC CREDITS TO MAG+ CUSTOMERS

Mag+ will automatically apply applicable Mag+ Customer Uptime credits quarterly in arrears. With regard to Priority Support failures, Mag+ Customer shall report any such failure to Mag+, in writing, at: success@magplus.com in order for the Priority Support credit to be claimed and credited against the next applicable Priority Support payment due and owing from Mag+ Customer to Mag+. Mag+ shall have the right to reasonably contest the validity of any such Priority Support failure claim.

IV. GENERAL INFORMATION

  • E-Mail Contact Points. Throughout the term of this Agreement, as part of Priority Support, Mag+ shall provide the following e-mail support contact points or as otherwise changed from time to time in writing by Mag+.E-mail: support@magplus.com
  • Maintenance Windows. Mag+ utilizes maintenance windows during which Mag+ may take down the Software to conduct routine maintenance checks. If the Software will be down for more than 1 hour within this window, Mag+ shall so advise Mag+ Customer, by email to Mag+ Customer’s listed Brand admin in Mag+ Publish, prior to any scheduled maintenance. Mag+ may change its maintenance window upon written notice to Mag+ Customer.
